Terms of Service

These Terms govern your access to and use of the Nurseryz.io platform ("Service"). By registering an account, attaching to a programme, or otherwise accessing the Service, you agree to these Terms.

1. Definitions

• "Nurseryz.io" means Nurseryz Technologies Limited, the operator of the Service.
• "User" means anyone with a registered account: nursery owners, programme managers, field officers, funders, government partners.
• "Programme" means a funded distribution initiative onboarded onto the Service.
• "Farmer" means a smallholder enrolled into a Programme or as a customer of a nursery.

2. Account & access

You must provide accurate registration information. You are responsible for the security of your password. Multi-tenant isolation is enforced at the database layer — you only see data from programmes you're attached to.

3. Acceptable use

You agree not to:

• Enrol farmers without their informed consent.
• Attempt to access data outside your programme scope.
• Submit fabricated survival or distribution data.
• Use the Service to spam farmers (advisory throughput is rate-limited by design).
• Reverse-engineer or scrape the Service.

4. Billing (nurseries)

Nursery accounts are billed via a wallet model. Top-ups are non-refundable but never expire. Monthly tier fees are charged from wallet balance on the first of each month. If your balance drops below the required tier fee, your account moves to read-only until top-up.

5. Billing (funders & government)

Funder and government programmes are billed per programme based on the scope of services agreed in a separate Master Services Agreement (MSA). These Terms apply to the platform itself; the MSA governs commercial terms.

6. Farmer data

Nurseries and programme managers are joint controllers of the farmer data they enrol. Nurseryz.io is the data processor. You agree to obtain valid consent at enrolment and to respect farmer rights to access, correction and withdrawal.

7. Carbon credits

Nurseryz.io provides the data layer required for Gold Standard, Plan Vivo and REDD+ verification — but is not itself a verifier. Credit issuance, sale and ownership are governed by the standard's rules and any separate agreement between you and the verifier.

8. Service availability

We aim for 99.5% monthly uptime on the funder panel and 99% on the nursery panel. SMS delivery depends on Africa's Talking and local mobile networks; we do not guarantee delivery within a fixed window.

9. Suspension & termination

We may suspend accounts that violate these Terms, including those that submit fabricated data or enrol farmers without consent. Termination is preceded by 14 days written notice except in cases of clear fraud or legal compulsion.

10. Liability

To the maximum extent permitted by law, Nurseryz.io is not liable for indirect, incidental or consequential damages. Total liability is capped at fees paid in the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of Uganda. Disputes are subject to the exclusive jurisdiction of Ugandan courts.

12. Changes

We may update these Terms. Material changes will be notified at least 14 days in advance via email and platform banner.
